Terms and Conditions for EyeList

These Terms and Conditions ("Terms") govern your use of the EyeList mobile application ("Service", "App") provided by Optilima Ltd ("Company", "we", "us", or "our").

By downloading, installing, or using EyeList, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of Service

EyeList is a surgical case logbook application designed for ophthalmology professionals to record, manage, and track their surgical case records. The App stores all data locally on your device.

2. Eligibility

EyeList is intended for use by licensed healthcare professionals, medical trainees, and authorized personnel involved in ophthalmology and eye care. By using the Service, you represent that you:

  • Are a qualified healthcare professional or trainee
  • Are at least 18 years of age (or the age of majority in your jurisdiction)
  • Will use the Service in compliance with all applicable laws, regulations, and professional standards

3. User Responsibilities

3.1 Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of all data you enter into the App.

3.2 Compliance with Healthcare Regulations

You are responsible for ensuring your use of EyeList complies with applicable healthcare data protection laws and professional regulations, including but not limited to:

  • HIPAA (Health Insurance Portability and Accountability Act) in the United States
  • GDPR (General Data Protection Regulation) in the European Union
  • Local healthcare privacy laws in your jurisdiction

3.3 Patient Consent

You are responsible for obtaining any necessary patient consents as required by your jurisdiction, institution, and professional standards before recording patient information.

3.4 Device Security

Since all data is stored locally on your device, you are responsible for:

  • Maintaining appropriate device security (passcodes, biometric authentication)
  • Keeping your device software up to date
  • Not sharing your device with unauthorized individuals
  • Creating regular backups of your data

4. Subscription and Payment

4.1 Trial Access

EyeList provides a trial period that allows you to log a limited number of cases at no cost, so you can evaluate the app before subscribing.

4.2 Premium Subscription

A subscription unlocks unlimited case logging and full access to all features. By subscribing:

  • Payment is charged to your Apple App Store or Google Play Store account at confirmation of purchase
  • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period
  • Renewal pricing will be the subscription price in effect at the time of renewal
  • You can manage or cancel your subscription at any time through your device's App Store or Play Store account settings

4.3 Cancellation

If you cancel your subscription:

  • You retain access to premium features until the end of the current billing period
  • Your data remains accessible and can be viewed and exported
  • No refunds are provided for partial subscription periods

4.4 Price Changes

We reserve the right to change subscription pricing. Any price changes will be communicated in advance and will apply to subsequent renewal periods.

5. Intellectual Property

5.1 Our Rights

The App, including its design, features, code, graphics, and documentation, is owned by Optilima Ltd and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for its intended purpose.

5.2 Your Data

You retain all ownership rights to the data you enter into the App. We do not claim any ownership of your case records or patient data.

5.3 Restrictions

You may not:

  • Copy, modify, or distribute the App
  • Reverse engineer, decompile, or disassemble the App
  • Remove any copyright or proprietary notices
  • Use the App for any unlawful purpose
  • Sublicense, sell, or transfer your license to use the App

6. Disclaimers

6.1 No Medical Advice

EyeList is a record-keeping tool and does not provide medical advice, diagnosis, or treatment recommendations. Clinical decisions should be based on your professional judgment and appropriate clinical resources.

6.2 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6.3 Data Loss

While we strive to provide a reliable application, we do not guarantee against data loss. You are responsible for maintaining regular backups of your data.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPTILIMA LTD SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of data, profits, or goodwill
  • Any damages arising from your use or inability to use the Service
  • Any damages arising from unauthorized access to your device or data

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Optilima Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Any data you enter or store in the App

9. Termination

9.1 By You

You may stop using the Service at any time by uninstalling the App.

9.2 By Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice.

9.3 Effect of Termination

Upon termination, your license to use the App ends. We recommend exporting your data before terminating use.

10. Changes to Terms

We may update these Terms from time to time. Changes will be posted within the App or on our website with an updated "Last updated" date.

Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiations. If a resolution cannot be reached, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Optilima Ltd regarding your use of the Service.
